SwiftDrop Terms of Service

These Terms of Service ("Terms") form a binding legal agreement between you (the "User", "you", or "your") and Zashiron LTD ("Zashiron", "we", "us", or "our"), governing your access to and use of SwiftDrop — including the SwiftDrop applications, the Zashiron management dashboard, and all related APIs, relay services, and support channels (collectively the "Service"). By accessing or using the Service you confirm that you have read, understood, and agree to these Terms.

1. Eligibility

You must be at least 18 years old (or the age of majority in your jurisdiction) to create an account. By creating an account you represent that you meet this requirement. If you are creating an account on behalf of a company or organization, you represent that you have the authority to bind that entity to these Terms.

2. Accounts and Organizations

The Service uses an organization model. Each paying subscription is associated with a Zashiron organization — a named entity that owns device seats and holds the billing relationship.
  • You are responsible for maintaining the confidentiality of your account credentials.
  • You are responsible for all activity that occurs under your account or organization.
  • You must provide accurate and complete information when registering an account and keep it up to date.
  • You must immediately notify us via our contact page if you suspect unauthorized access to your account.
  • One person or legal entity may not maintain more than one free account.

3. Subscription, Billing, and Payments

3.1 PlansSwiftDrop is offered on a tiered subscription model: Free, Pro ($40/month), Business ($350/month), and Enterprise (custom pricing). Feature entitlements and device seat limits for each plan are described on the Pricing page.3.2 Payment and CurrencyAll paid plans are billed monthly. Prices are quoted in US Dollars (USD) for reference; actual charges are processed in Nigerian Naira (NGN) via Paystack at the prevailing exchange rate at the time of billing. You authorize us to charge your payment method on a recurring monthly basis until you cancel.3.3 Upgrades and DowngradesYou may upgrade your plan at any time; the new plan takes effect immediately and you will be charged a prorated amount for the remainder of the current billing period. Downgrades take effect at the end of the current billing period.3.4 CancellationYou may cancel your subscription at any time from the Billing section of your dashboard. Cancellation takes effect at the end of the current billing period. Your account reverts to the Free plan; data retained under paid plan history windows will be pruned to the Free plan limit.3.5 RefundsAll fees are non-refundable except as required by applicable law or at our sole discretion. We do not provide refunds for partial months or unused service time after cancellation.3.6 Failed PaymentsIf a payment fails, we will attempt to notify you by email. If payment remains outstanding for more than 7 days, paid plan features may be suspended until payment is resolved.

4. Acceptable Use

You agree not to use the Service to:
  • Transfer, store, or distribute unlawful, harmful, threatening, abusive, defamatory, or otherwise objectionable content.
  • Transfer files that infringe any third party's intellectual property, privacy, or other rights.
  • Distribute malware, spyware, ransomware, or any other malicious software.
  • Circumvent or attempt to circumvent any device seat limits or plan restrictions.
  • Resell, sublicense, or redistribute access to the Service or the relay infrastructure without our written consent.
  • Attempt to reverse-engineer, decompile, or disassemble any part of the Service.
  • Conduct automated scraping, bulk API calls, or denial-of-service attacks against our infrastructure.
  • Impersonate any person or entity or falsely represent your affiliation with any person or entity.
Violation of these restrictions may result in immediate suspension or termination of your account without refund.

5. Service Description and Availability

5.1 LAN File TransferSwiftDrop's core LAN transfer feature routes files directly between devices on the same local network. Zashiron's servers are not involved in the data path; accordingly we provide no availability guarantee for LAN transfers.5.2 Office Tunnel RelayThe Office Tunnel relay is a Pro and Business feature that proxies encrypted file transfers between devices on different networks. We target 99.5% monthly uptime for the relay service. Planned maintenance windows will be announced at least 48 hours in advance wherever possible.5.3 Swift ConferencingSwift Conferencing (Business and Enterprise plans) is powered by Stream.io. Call quality and availability are subject to your network conditions and Stream.io's own service availability.5.4 Service ChangesWe reserve the right to modify, suspend, or discontinue any part of the Service with at least 30 days' notice for material changes that affect paid plans. We will provide reasonable notice of any feature deprecation.

6. Intellectual Property

The SwiftDrop software, the Zashiron dashboard, all associated branding, trademarks, and documentation are owned exclusively by Zashiron LTD and protected by applicable intellectual property law. Your subscription grants you a limited, non-exclusive, non-transferable, revocable licence to use the Service for your internal business purposes during the term of your subscription.You retain all ownership rights in the files you transfer using SwiftDrop. Zashiron claims no rights over your content.

7. Privacy

Your use of the Service is also governed by our Privacy Policy, which is incorporated into these Terms by reference.

8. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.FILE TRANSFER IS END-TO-END BETWEEN YOUR DEVICES. WE ARE NOT RESPONSIBLE FOR ANY LOSS OF DATA RESULTING FROM INTERRUPTED OR FAILED TRANSFERS. YOU ARE SOLELY RESPONSIBLE FOR MAINTAINING BACKUPS OF YOUR FILES.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, ZASHIRON'S TOTAL LIABILITY TO YOU FOR ANY CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE GREATER OF (A) THE TOTAL FEES YOU PAID TO ZASHIRON IN THE THREE MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM OR (B) ONE HUNDRED US DOLLARS (USD 100).IN NO EVENT SHALL ZASHIRON BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR GOODWILL, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

10. Indemnification

You agree to indemnify, defend, and hold harmless Zashiron LTD and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or related to: (a) your use of the Service; (b) your violation of these Terms; (c) your violation of any third-party rights; or (d) any content you transfer using the Service.

11. Termination

We may suspend or terminate your account at any time for violation of these Terms, non-payment of fees, or if required by law, with or without prior notice depending on the severity of the violation.You may terminate your account at any time by contacting us with a deletion request. Upon termination: your access to paid features ceases immediately; account data is deleted within 30 days; data required for legal compliance is retained per our Privacy Policy.

12. Governing Law and Dispute Resolution

These Terms are governed by the laws of the Federal Republic of Nigeria. Any dispute arising from or relating to these Terms shall first be submitted to good-faith negotiation. If the dispute is not resolved within 30 days, it shall be referred to binding arbitration under the rules of the Lagos Court of Arbitration, with proceedings conducted in Lagos, Nigeria, in the English language.

13. Changes to These Terms

We may revise these Terms at any time. For material changes affecting paid plans, we will give at least 30 days' advance notice by email. For all other changes, we will update the "Last updated" date above. Your continued use of the Service after a change takes effect constitutes acceptance of the revised Terms.

14. General Provisions

  • Entire agreement. These Terms and the Privacy Policy constitute the entire agreement between you and Zashiron regarding the Service.
  • Severability. If any provision of these Terms is found unenforceable, the remaining provisions remain in full effect.
  • No waiver. Failure to enforce any provision of these Terms does not constitute a waiver of our right to enforce it later.
  • Assignment. You may not assign these Terms or any rights hereunder without our prior written consent. We may assign these Terms in connection with a merger, acquisition, or sale of assets.
  • Force majeure. We are not liable for any failure or delay caused by circumstances beyond our reasonable control.
